Delta Cohost Terms of Service
These Terms of Service are a legal agreement between you and Echo Forge Labs LLC, an Arizona limited liability company, doing business as Delta Cohost (“Echo Forge Labs,” “Delta,” “we,” “us,” or “our”).
Delta Cohost is an AI-assisted Twitch cohost, chat automation, launch-prep, loyalty, ranking, and local-overlay service for streamers. By accessing or using Delta, logging in with Twitch, subscribing, connecting a channel, enabling the bot, installing the Local Agent, or otherwise using the service, you agree to these Terms.
If you do not agree, do not use Delta.
1. Related policies
These Terms incorporate the following policies by reference:
- Delta Privacy Policy.
- Delta Viewer Privacy Notice.
- Delta Acceptable Use Policy.
- Delta Local Agent Notice.
- Any subscription, billing, setup, or feature-specific terms shown in the product.
If these Terms conflict with a feature-specific notice, the feature-specific notice controls for that feature unless it says otherwise.
2. Eligibility
Delta is only for users who are at least 18 years old and legally able to enter a binding agreement.
By using Delta, you represent and warrant that:
- You are at least 18 years old.
- You are not barred from using Delta under applicable law.
- You are the Twitch channel owner or an authorized representative with permission to connect the channel, configure bots, process channel data, accept these Terms, and manage related subscriptions.
- The information you provide to Delta is accurate and current.
- You will keep your accounts, devices, tokens, and credentials secure.
If you use Delta on behalf of a company, channel, team, organization, agency, or other entity, you represent that you have authority to bind that entity to these Terms.
We may suspend or terminate access if we believe a user is under 18, lacks authority over a connected channel, violates these Terms, or creates risk for Delta, Twitch users, Echo Forge Labs, or third parties.
3. Twitch connection and platform responsibility
Delta relies on Twitch login, Twitch APIs, Twitch chat, Twitch EventSub, and related Twitch services. Twitch is not responsible for Delta, and Delta is not responsible for Twitch.
You are responsible for:
- Your Twitch account and Twitch channel.
- Any bot account you connect or authorize.
- Your channel’s compliance with Twitch rules, Twitch terms, community standards, and applicable law.
- The actions taken by Delta when you authorize Delta to act on your behalf.
- Ensuring that any moderators, editors, managers, or team members who use Delta for your channel have proper authority.
Delta may use a hosted bot account or a user-provided bot account depending on your configuration. Regardless of which account speaks in chat, you are responsible for your configuration, persona, settings, automations, prompts, media, integrations, and deployment context.
4. The service
Delta may provide some or all of the following:
- AI-assisted Twitch chat responses.
- Persona and bot-voice configuration.
- Scheduled messages.
- Event-driven automations.
- Launch-prep copy, including title, go-live notification, and announcement suggestions.
- Twitch category/title update assistance.
- Chat context features.
- Ranking and engagement features.
- Loyalty points, rewards, redemptions, and viewer stats.
- Local Agent features, including PNGTuber, clip, browser-source, and local media functionality.
- Admin, support, security, billing, analytics, and debugging features.
We may add, remove, modify, suspend, limit, or discontinue features at any time. Some features may be experimental, beta, incomplete, rate-limited, region-limited, unavailable, or subject to additional requirements.
5. AI outputs and automation
Delta uses AI to generate, rewrite, classify, rank, summarize, and/or assist with content and decisions. AI outputs can be inaccurate, unexpected, repetitive, offensive, incomplete, misleading, inappropriate, or unsuitable for your channel.
You understand and agree that:
- Delta does not guarantee that AI outputs will be accurate, safe, lawful, non-infringing, platform-compliant, or appropriate for your audience.
- Delta is not a substitute for human judgment, streamer oversight, moderation, legal review, medical advice, financial advice, mental-health care, or professional advice.
- You are responsible for reviewing, testing, configuring, monitoring, disabling, or correcting Delta features as needed.
- You are responsible for anything the bot posts, triggers, displays, recommends, rewrites, updates, stores, or causes through your channel or connected accounts.
- You should not rely on Delta to detect or prevent every harmful, inaccurate, infringing, or policy-violating output.
Delta may apply safety filters, content-rating rules, platform constraints, abuse detection, or other controls. Those controls are not perfect and do not shift responsibility away from you.
6. User content and user materials
“User Content” means anything you, your channel, your viewers, your moderators, or your authorized users submit, configure, upload, transmit, connect, provide, or make available through Delta, including:
- Persona text.
- Prompts and instructions.
- Twitch chat messages.
- Bot interactions.
- Scheduled messages.
- Launch-prep notes.
- Titles, go-live notifications, and announcements.
- Images, audio, video, clips, PNGTuber files, sounds, media, and browser-source assets.
- Loyalty rewards and redemption content.
- Viewer names, IDs, stats, ranking records, and loyalty records.
- Support communications and bug reports.
- Any other materials processed through Delta.
You retain whatever rights you have in your User Content. You grant Echo Forge Labs a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, process, transmit, display, perform, modify, create technical or functional derivatives from, and otherwise use User Content as needed to:
- Provide, operate, secure, maintain, debug, and improve Delta.
- Generate, rewrite, rank, classify, or display bot outputs.
- Operate ranking, loyalty, automation, and support features.
- Process payments and manage subscriptions.
- Comply with law, enforce these Terms, and protect Delta, users, viewers, Twitch, Echo Forge Labs, and third parties.
- Respond to support, privacy, legal, or abuse requests.
This license ends when it is no longer needed for those purposes, subject to retention periods, backups, legal obligations, support records, security records, billing records, and surviving provisions of these Terms.
7. Your content promises
You represent and warrant that:
- You own, have permission to use, or have another lawful basis to use all User Content and materials you provide, configure, upload, connect, or cause Delta to process.
- Your User Content and use of Delta will not infringe, misappropriate, or violate anyone’s copyright, trademark, trade secret, privacy, publicity, moral, contractual, platform, or other rights.
- Your User Content and use of Delta will not violate applicable law, Twitch rules, or Delta’s Acceptable Use Policy.
- You will not use Delta to deceive viewers into believing the bot is an unauthorized real person, company, streamer, celebrity, Twitch staff member, brand, or rights holder.
- You will not use Delta to upload malware, spyware, harmful code, stolen data, private credentials, or other dangerous materials.
Delta does not pre-approve your rights to any User Content. You are responsible for clearing rights, permissions, licenses, and lawful-use questions.
8. Bot outputs
“Bot Outputs” means content generated, rewritten, classified, ranked, triggered, displayed, or suggested by Delta, including chat messages, launch copy, announcement text, loyalty messages, responses, summaries, and other AI-assisted outputs.
As between you and Echo Forge Labs, and to the extent permitted by law and third-party terms, Echo Forge Labs does not claim ownership of Bot Outputs generated for your channel. However:
- Bot Outputs may be based on your User Content, Twitch chat, viewer messages, third-party AI services, model behavior, and system settings.
- Echo Forge Labs does not guarantee that Bot Outputs are protectable by copyright or free of third-party rights.
- Similar or identical outputs may be generated for other users.
- You are responsible for deciding whether and how to use Bot Outputs.
- You are responsible for reviewing Bot Outputs before commercial use, publication, or reliance.
9. Prohibited uses
You must follow Delta’s Acceptable Use Policy.
You may not use Delta to:
- Break the law.
- Violate Twitch rules.
- Generate spam, scams, false engagement, fake follows, bot loops, deceptive promotions, phishing, malware, or unauthorized data collection.
- Create hate speech, threats, doxxing, stalking, sexual harassment, non-consensual sexual content, child sexual exploitation, or encouragement of self-harm.
- Deceptively impersonate people, brands, companies, streamers, Twitch staff, or rights holders.
- Infringe or misuse intellectual property, privacy, publicity, or confidential information.
- Provide regulated professional advice, including legal, medical, financial, tax, emergency, or mental-health advice, in a way that could be relied on as professional guidance.
- Interfere with, reverse engineer, scrape, overload, bypass, or attack Delta, Twitch, AI providers, payment processors, or third-party systems.
- Circumvent safety limits, access controls, rate limits, subscription limits, or usage restrictions.
- Use Delta for purposes that create legal, safety, platform, security, reputational, or operational risk for Echo Forge Labs or others.
We may suspend or terminate accounts, disable features, remove content, limit access, preserve evidence, or report activity if we believe these Terms or the Acceptable Use Policy are violated.
10. Sarcasm, roasting, and channel tone
Delta may allow streamer-approved sarcasm, playful roasting, fictional rivalry, edgy humor, and character-driven bot personas.
However, you are responsible for ensuring your bot stays within lawful, platform-compliant, and audience-appropriate boundaries. Sarcasm or “roast” settings do not permit threats, doxxing, stalking, sexual harassment, protected-class attacks, slurs, encouragement of self-harm, repeated unwanted targeting, or violations of Twitch rules or applicable law.
11. Data and privacy
Delta’s data practices are described in the Privacy Policy and Viewer Privacy Notice.
You understand that Delta may collect and process:
- Twitch account data.
- Twitch channel identifiers and settings.
- Persona data.
- Streamer settings and configuration.
- Chat messages from connected channels while Delta is enabled.
- Bot interactions and bot-generated replies.
- Ranking and loyalty data.
- Usage, diagnostic, security, and support logs.
- Payment and subscription metadata.
- Local Agent connection data.
Raw chat-message history and bot-generated chat replies are generally retained in Delta’s active systems for approximately 30 days. Delta may retain derived, channel-specific ranking and loyalty records for longer as needed to operate the service. Delta may also retain account, billing, legal, support, security, abuse-prevention, and operational records as described in the Privacy Policy.
Viewers may request deletion or request that Delta stop retaining future tracking data associated with them. Some requests may affect ranking, loyalty, personalization, troubleshooting, moderation, and other features.
12. Third-party services
Delta may depend on third-party services, including Twitch, Amazon Web Services, Cloudflare, OpenAI, xAI/Grok, payment processors, analytics/logging providers, email providers, operating-system services, and other vendors.
Your use of Delta may require third-party accounts, devices, browsers, browser sources, local software, APIs, or permissions. Third-party services are governed by their own terms and privacy practices.
Echo Forge Labs is not responsible for third-party services, outages, API changes, rate limits, security incidents, policy changes, account actions, billing systems, model behavior, or data practices outside Echo Forge Labs’ control.
13. Local Agent
The Delta Local Agent is optional desktop software that may enable local features such as PNGTuber, clip playback, browser-source visuals, local media, and related integrations.
The Local Agent is governed by these Terms and the Local Agent Notice. By installing or using the Local Agent, you agree that:
- You will install it only from an official Delta source.
- You are responsible for your device, local files, local network, OBS/browser-source setup, and local media.
- The Local Agent may store settings, tokens, media paths, local media, or configuration data on your device.
- PNGTuber files and local media are intended to remain local unless you choose to upload, transmit, or share them through another feature.
- Updates are prompted and require user action before download or installation.
- The Local Agent is provided as-is and may not work on every system.
14. Subscriptions, billing, cancellation, and refunds
Some Delta features may require a paid subscription.
By subscribing, you authorize Echo Forge Labs or its payment processor to charge your selected payment method for subscription fees, taxes, and other charges shown at checkout.
Unless stated otherwise:
- Subscriptions renew automatically until canceled.
- You may cancel future renewals through the product, payment portal, or support.
- Cancellation stops future renewal but does not automatically refund the current billing period.
- Access to paid features may continue until the end of the paid billing period unless your account is suspended or terminated for cause.
- Failed payments may result in suspension, downgrade, or termination of paid features.
- Prices, plan features, limits, and billing periods may change with notice where required by law.
Except where required by law, Delta does not provide prorated refunds for partial billing periods. Echo Forge Labs may, in its discretion, provide refunds for accidental renewals, duplicate purchases, billing mistakes, or cancellation mistakes reported shortly after purchase or renewal. A discretionary refund in one case does not guarantee future refunds.
15. Beta, experimental, and unfinished features
Some features may be labeled beta, experimental, preview, coming soon, incomplete, or subject to change. These features may be unstable, inaccurate, unavailable, limited, or removed without notice.
You use beta or experimental features at your own risk. Echo Forge Labs may change, disable, or remove them at any time.
16. Security
You are responsible for maintaining the security of your Twitch account, Delta account, bot account, devices, credentials, stream tools, browser sources, local network, and Local Agent installation.
You must promptly notify us if you believe your account, channel, bot, token, Local Agent, or credentials have been compromised.
You may not test, scan, attack, overload, reverse engineer, bypass, or interfere with Delta or third-party systems unless you have written authorization from Echo Forge Labs.
17. Suspension and termination
We may suspend, limit, disable, remove, or terminate access to Delta at any time if we believe:
- You violated these Terms or related policies.
- Your use creates legal, safety, security, platform, operational, reputational, payment, or abuse risk.
- You lack authority over a connected channel.
- You are under 18.
- Required payment fails.
- A third-party service, platform, or law requires or encourages action.
- Continuing service would be impractical or harmful.
You may stop using Delta at any time. You may disconnect Twitch, cancel paid subscriptions, or request account deletion subject to the Privacy Policy and applicable retention exceptions.
Sections that by their nature should survive termination will survive, including ownership, licenses, payment obligations, disclaimers, limitations of liability, indemnification, dispute provisions, enforcement rights, and legal compliance provisions.
18. Service availability
Delta is provided on an as-is and as-available basis. We do not guarantee uptime, uninterrupted operation, error-free operation, compatibility, model availability, specific outputs, ranking accuracy, Twitch availability, AI-provider availability, payment-provider availability, data recovery, or continued support for any feature.
We may perform maintenance, change infrastructure, impose limits, disable features, or experience outages.
19. Disclaimers
To the maximum extent permitted by law, Echo Forge Labs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and quiet enjoyment.
Delta does not guarantee that:
- AI outputs will be correct, lawful, non-infringing, safe, or Twitch-compliant.
- The bot will prevent harmful chat or moderation problems.
- Ranking, loyalty, or analytics will be complete or accurate.
- The service will meet your expectations or business goals.
- Data loss, account actions, platform issues, or third-party outages will not occur.
- The Local Agent will work on every device, network, or OBS/browser-source configuration.
20. Limitation of liability
To the maximum extent permitted by law, Echo Forge Labs and its owners, officers, employees, contractors, agents, affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost goodwill, lost data, business interruption, platform suspension, channel moderation issues, lost viewers, loss of subscriptions, or reputational harm, even if we were advised that such damages were possible.
To the maximum extent permitted by law, Echo Forge Labs’ total liability for all claims relating to Delta will not exceed the greater of:
- The amount you paid Echo Forge Labs for Delta during the three months before the event giving rise to the claim; or
- USD $100.
Some jurisdictions do not allow certain liability limitations, so some of these limits may not apply to you.
21. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Echo Forge Labs and its owners, officers, employees, contractors, agents, affiliates, suppliers, and licensors from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use or misuse of Delta.
- Your channel, bot account, persona, prompts, settings, automations, media, or integrations.
- User Content or Bot Outputs used, posted, displayed, triggered, or published through your channel.
- Alleged infringement or violation of intellectual property, privacy, publicity, contractual, platform, or other rights.
- Your violation of Twitch rules, applicable law, these Terms, or related policies.
- Your failure to obtain required permissions, licenses, consents, or authority.
- Your dispute with viewers, moderators, team members, customers, subscribers, rights holders, Twitch, payment providers, or third parties.
Echo Forge Labs may control the defense of any indemnified claim. You may not settle any claim in a way that imposes obligations on Echo Forge Labs without our written consent.
22. Changes to Delta and these Terms
We may update Delta and these Terms from time to time. If changes are material, we will provide notice where required by law, such as by posting the updated Terms, updating the “Last updated” date, sending notice, or requiring re-acceptance in the product.
Your continued use of Delta after the effective date of updated Terms means you accept the updated Terms. If you do not agree, you must stop using Delta.
23. Governing law and venue
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules, except where applicable consumer-protection laws require otherwise.
Subject to any rights you have under applicable law, you and Echo Forge Labs agree that disputes relating to these Terms or Delta will be brought in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction and venue there.
24. Export and sanctions
You may not use Delta if you are located in, controlled by, or acting on behalf of a person, entity, or country subject to applicable sanctions or export restrictions. You may not use Delta in violation of U.S. export-control, sanctions, or anti-corruption laws.
25. Miscellaneous
If any part of these Terms is found unenforceable, the remaining parts remain in effect.
You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or operation of law.
Our failure to enforce a provision is not a waiver.
Headings are for convenience only.
These Terms, together with the incorporated policies, are the entire agreement between you and Echo Forge Labs regarding Delta.
